Terms of Service
These Terms of Service ("Terms") are a binding agreement between you ("you", "your") and tickstream ("tickstream", "we", "us", "our") governing your access to and use of the tickstream website, API, data feeds, SDKs and related services (together, the "Service"). By creating an account, accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
tickstream provides programmatic access to financial market data, including futures, options and Level 2 data, sourced from third parties. The Service is a technical data-delivery tool only. We are not a broker, dealer, exchange, investment adviser, financial adviser or trading platform, and we do not execute, facilitate or recommend any trade or transaction.
2. Not financial or investment advice
All data and content provided through the Service is for general informational purposes only and does not constitute investment, financial, legal, tax or other advice, nor a recommendation, offer or solicitation to buy, sell or hold any security, instrument or asset. You are solely responsible for any decision you make and any action you take in reliance on the Service. You should obtain independent professional advice before making any financial decision.
3. Assumption of trading risk
Trading and investing in futures, options and other instruments involves a high level of risk and may result in the loss of some or all of your capital. You acknowledge and agree that you trade entirely at your own risk and that tickstream has no liability whatsoever for any trading or investment losses, missed gains, or other losses arising directly or indirectly from your use of, or inability to use, the Service or the data it provides — including losses caused by inaccurate, delayed, incomplete, interrupted or unavailable data.
4. Market-data disclaimer
Market data is obtained from third-party sources, exchanges and data vendors. We do not guarantee and make no representation as to the accuracy, completeness, timeliness, sequence, continuity or reliability of any data. Data may be delayed, contain errors or gaps, be re-stated, or be interrupted or discontinued at any time without notice. The Service must not be used as a system of record, or for compliance, settlement, valuation or any purpose requiring authoritative or guaranteed data. You are responsible for independently verifying any data before relying on it.
5. Licence & acceptable use
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access the data through your own application for your own internal use. You must not, and must not permit any third party to:
- resell, sublicense, redistribute, retransmit, publish or otherwise make the raw data feed available to any third party;
- store or cache data except as reasonably necessary to operate your own application;
- share, transfer or expose your API key; you are responsible for all activity under your key and account;
- exceed, circumvent or interfere with any rate limit, quota, plan entitlement or security measure;
- reverse engineer, decompile or attempt to derive the source of any part of the Service;
- use the Service unlawfully, to infringe any right, or in breach of any exchange or data-vendor terms.
Data may be subject to the terms, fees and entitlement requirements of the originating exchanges and vendors, and your access may be conditioned on or terminated in accordance with those requirements.
6. Accounts, fees & billing
Paid plans are billed in advance on a recurring (e.g. monthly) basis through our payment processor, Stripe. You authorise us and Stripe to charge your payment method for the applicable fees and any taxes. Prices may change on reasonable notice. You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods or unused access.
Immediate supply & loss of cancellation right. The Service supplies digital content/data that begins streaming as soon as your access is provisioned. By subscribing and creating an account, you expressly request that supply begins immediately and you acknowledge and agree that, once any data has been delivered to you — including the very first tick or message — you lose your statutory right to cancel (the 14-day "cooling-off" right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013) and you are not entitled to any refund. From the moment the first tick is delivered, all fees for the then-current and any prior billing period are non-refundable. You may still cancel future renewals at any time from your dashboard.
7. Availability & "as is" service
The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, secure, or available at any particular time or location, and we may modify, suspend or discontinue any part of the Service (including data coverage) at any time. Unless expressly agreed in writing, we offer no service-level or uptime guarantee.
8. Disclaimer of warranties
To the maximum extent permitted by law, we disclaim all warranties, conditions and representations of any kind, whether express, implied or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, title and non-infringement. No advice or information obtained from us or through the Service creates any warranty not expressly stated in these Terms.
9. Limitation of liability
To the maximum extent permitted by law, tickstream and its owners, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, trading or investment losses, or business interruption, arising out of or related to the Service or these Terms, whether in contract, tort (including negligence) or otherwise, even if advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the total fees you actually paid to us in the three (3) months immediately preceding the event giving rise to the claim, or (b) £100.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. If you deal as a consumer, your statutory rights are not affected by these Terms.
10. Indemnification
You agree to indemnify, defend and hold harmless tickstream and its owners, officers, employees and suppliers from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your applications or end users, your trading or investment activity, your data, or your breach of these Terms or of any law or third-party right.
11. Suspension & termination
We may suspend or terminate your access immediately, without notice or liability, if you breach these Terms, if required by an exchange, vendor, payment processor or law, or to protect the Service or other users. You may stop using the Service and close your account at any time. Sections that by their nature should survive termination (including 2–4 and 8–14) will survive.
12. Intellectual property
The Service, including its software, SDKs, documentation, design and trademarks, is owned by tickstream or its licensors and is protected by law. Except for the limited licence in Section 5, no rights are granted to you.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, by additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing law & jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction, save that if you are a consumer you may also benefit from any mandatory protections of the law of your country of residence.
15. General
If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganisation or sale. These Terms are the entire agreement between you and us regarding the Service.
